Three paths, different responsibilities
For a Brazilian considering business ownership in the United States, particularly Florida, a location and a brand are only part of the decision. The operation must fit your experience, availability and ability to oversee people and numbers. Begin with one question: do I want to run the business, hire management or expand an operation I already understand?
| Path | What you must build or validate | Key question |
|---|---|---|
| Start from scratch | Demand, staff, processes and a sales channel. | How will I test demand before committing to the full operation? |
| Buy an existing business | Quality of earnings, reliance on the seller and continuity. | Can the operation keep working without its current owner? |
| Buy a franchise | The network's model, contractual duties and unit economics. | Do its support and restrictions fit the way I want to operate? |
This is an editorial decision framework, rather than a ranking. For acquisitions, the SBA recommends objective investigation and help from an attorney and accountant. A recognizable name or a revenue figure does not replace an independent review.
Turn an opportunity into questions you can verify
Ask for a document, a time period and a reviewer behind every material assertion. “It has many customers” becomes: how much revenue comes from its five largest accounts? “The owner barely works” becomes: who performed each operational task last week?
Separate the purchase price, transaction expenses, necessary changes and money to sustain operations. Keep personal reserves on a separate line. A price that absorbs all available capital leaves little room for equipment replacement or a transition that takes longer than expected.
Florida requirements vary by activity and municipality. Use the official Open MyFlorida Business portal and the DBPR license search where applicable. Registering an entity and obtaining permission to carry out an activity are separate checks.
Franchises: make time for reading and conversations
For offerings covered by the federal Franchise Rule, the FTC says buyers must receive the Franchise Disclosure Document (FDD) at least 14 days before signing a contract or paying the franchisor or its affiliate. Review costs, obligations, territory and transfer provisions with professional help. Read the FTC's official guide and speak with current and former franchisees.
The business, your family and immigration need their own reviews
Include where you intend to live, who will manage daily operations and the time you can commit. If immigration is part of the project, discuss it with the responsible attorney before connecting a purchase to that expectation. An acquisition should not be treated as confirmation of a visa or work authorization.
Prepare a brief before choosing an opportunity
Record the sector, region, experience, weekly availability, total capital, amount reserved for operations and timing. Add three unanswered questions. These notes make it easier to compare opportunities consistently and recognize missing information before making a commitment.
Prepare your conversation

Through Trinity, Rick Gradin organizes the initial assessment and connects the different parts of the project. Accounting, legal, tax and immigration reviews remain with the professionals engaged for those services. The next step is a conversation about your criteria before selecting a business or franchise.
